1. SCOPE OF SERVICES

The Service Provider agrees to perform the following AI Visibility Audit services for the Client:

  Service Tier: AI Visibility Audit
  Investment: $2,500 (one-time)

  Deliverables include:
    - 15–25 high-intent AI queries across 3–5 platforms
    - Comprehensive AI Visibility Score with sub-score breakdown
    - Platform-by-platform analysis (ChatGPT, Gemini, Perplexity, and more)
    - Query coverage matrix
    - Competitor share-of-voice analysis (3–5 competitors)
    - Sentiment and accuracy assessment
    - Prioritized recommendations (by impact vs. effort)
    - 30-day action plan

2. TIMELINE & DELIVERY

  • Work will commence within 1 business day of payment confirmation.
  • Initial audit report will be delivered within 5 business days.
  • All deliverables will be sent to the Client's email address on file.


3. INVESTMENT & PAYMENT

  Total Investment: $2,500
  Payment Method: Credit card via Stripe
  Payment Terms: Payment is due in full before work commences.


4. CLIENT RESPONSIBILITIES

  The Client agrees to:
  • Provide accurate business information (name, category, location, website).
  • Respond to clarification requests within 2 business days.
  • Designate a primary contact for communications.

5. INTELLECTUAL PROPERTY

  • The audit report and all deliverables become the Client's property upon full payment.
  • The Service Provider retains the right to use anonymized, aggregated data for research and marketing purposes.
  • The Service Provider's proprietary methodologies, scoring algorithms, and templates remain the Service Provider's intellectual property.

6. CONFIDENTIALITY

  Both parties agree to keep confidential all non-public information shared during the engagement, including but not limited to:
  • Business strategies and competitive intelligence
  • AI visibility scores and detailed findings
  • Financial information and pricing details

  This obligation survives termination of this agreement for a period of 2 years.

7. LIMITATION OF LIABILITY

  • The Service Provider's total liability shall not exceed the fees paid under this SOW.
  • The Service Provider does not guarantee specific search rankings, AI visibility scores, or business outcomes.
  • Recommendations are advisory in nature; implementation is at the Client's discretion and risk.
  • AI platform behaviors and algorithms are outside the Service Provider's control and may change without notice.

8. REFUND POLICY

  • If the Service Provider fails to deliver the audit report within the agreed timeline (5 business days), the Client is entitled to a full refund.
  • Once the report has been delivered, no refunds will be issued.
  • For monthly subscriptions, unused portions of the current billing period are non-refundable upon cancellation.

9. DISPUTE RESOLUTION

  Any disputes arising from this agreement shall be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association.

10. GOVERNING LAW

  This agreement shall be governed by the laws of the State of Delaware, without regard to conflict of law principles.

11. ENTIRE AGREEMENT

  This Statement of Work constitutes the entire agreement between the parties regarding the services described herein. Any modifications must be made in writing and agreed to by both parties.
